Summary
The Division of Corporation Finance (CF), Office of Chief Counsel (OCC) is seeking a Attorney Advisor (Special Counsel). As a Special Counsel, you will provide legal counsel and policy advice to Division and agency staff on the statutes and regulations that Division of Corporation Finance administers. OCC also develops and provides interpretive guidance and assists the public with questions related to those statutes and regulations.
Duties
In this role as a Special Counsel, you will be responsible for: Advising on the Securities Act of 1933, the Securities Exchange Act of 1934, other federal securities laws, and their associated rules, regulations and forms. Applying the federal securities laws to evolving and complex products and capital markets transactions. Developing interpretive positions under the federal securities laws and ensuring their consistency with the wide range of federal and state legal, regulatory, and administrative requirements applicable to securities issuers and transactions. Reviewing and recommending responses to no-action and interpretive requests and exemptive applications. Reviewing, drafting, and developing recommendations for rulemaking initiatives. Assisting with special projects.
Qualifications

Qualifying experience may be obtained in the private or public sector. Experience refers to paid and unpaid experience, including volunteer work done through National Service programs (e.g., Peace Corps, AmeriCorps) and other organizations (e.g., professional, philanthropic, religious, spiritual, community, student, social). Volunteer work helps build critical competencies, knowledge, and skills and can provide valuable training and experience that translates directly to paid employment. You will receive credit for all qualifying experience, including volunteer experience. All qualification requirements must be met by the closing date of this announcement. BASIC REQUIREMENT: All applicants must possess the following: J.D. or LL.B. degree --AND-- Active membership of the bar in good standing in any state, territory of the United States, the District of Columbia, or the commonwealth of Puerto Rico. (Note: proof of bar membership will be required before entry on duty. MINIMUM QUALIFICATION REQUIREMENT: In addition to meeting the basic requirement, applicants must also meet the minimum qualification requirement. SK-14: Applicant must have at least three years post J.D. identifying legal issues, conducting legal research, providing legal analyses, providing legal solutions/recommendations, and preparing legal documents, which also includes at least two years: Providing legal advice regarding the application of the Securities Act of 1933, Securities Exchange Act of 1934, other federal securities laws, and their associated rules and regulations; AND Analyzing and developing recommendations for compliance with the requirements of the federal securities laws. Competency 3: Technical Communication - Translates technical information into non-technical terms and accurately conveys technical information to end users (e.g., staff, management) and outside parties. Competency 4: Workload Management - Effectively prioritizes workload in a way that accommodates unforeseen developments and achieves successful outcomes.
Education
