Corporate Counsel

Job Responsibilities

• •Provide legal support and counsel on commercial contracts, supporting negotiation and drafting of contracts with customers, suppliers, and business partners
• •Support mergers, acquisitions, divestitures, joint ventures, and other strategic transactions, including due diligence, document preparation, closing activities, and post-closing integration
• •Provide day-to-day legal advice and strategic counseling to business units and corporate functions on commercial, operational, regulatory, and compliance matters
• •Assist with public company compliance, including preparation and review of SEC filings and compliance with NYSE listing standards, corporate governance requirements, and disclosure obligations
• •Advise management and business partners on corporate records management
• •Partner with business leaders to identify, assess, and mitigate legal and business risks while enabling commercial objectives
• •Coordinate and support intellectual property matters, including patent, trademark, and related portfolio management activities
• •Assist with the development and implementation of company policies, procedures, training, and compliance initiatives
• •Assist with managing relationships and services of outside attorneys
• •Perform other legal and business support responsibilities as needed

Qualifications

• •Juris Doctor degree from an accredited law school
• •2-5 years of experience in either law firm or in-house legal department
• •High level of integrity, professionalism, and discretion
• •Strong business judgment and risk assessment skills
• •Ability to balance legal risk with practical business objectives
• •Strategic thinking, plus a committed "get to yes"/solutions-oriented approach
• •Excellent written, verbal and interpersonal communication skills, with the ability to translate complex legal/regulatory issues into understandable and executable advice
• •Ability to manage multiple projects and competing priorities
• •Strong relationship-building and client-service orientation
• •Demonstrated ability to work independently while collaborating effectively across functions
• •Comfort and excellent judgment in areas where regulation/law is evolving or uncertain
• •Self-motivated and enthusiastic
• •Proficient in Microsoft Outlook, Word, Excel and PowerPoint
