Position Summary

The Corporate Counsel will be part of the corporate transaction team within Life Time’s legal department, primarily supporting commercial contracting. The Corporate Counsel will partner with, propel and protect several areas of Life Time’s business, including technology, procurement, shared services and in-club businesses, on all aspects of buy-side and sell-side contracts and relationships. This individual will also support the corporate transaction team in advising Life Time’s partnership marketing and athletic events team. This individual will play an important role in strategic growth and initiatives by providing sound legal advice, exercising problem-solving skills, leveraging AI tools and technology and building relationships with key clients and business leaders at Life Time.

Job Duties and Responsibilities

  • Reviewing, drafting and negotiating commercial contracts in a timely and efficient manner, including with respect to:
  • Technology, including cloud-based services, software licensing and AI
  • Data privacy and security agreements (in coordination with in-house privacy counsel)
  • Service level agreements
  • Statements of work
  • Products and services purchases
  • Consulting, work-for-hire and non-disclosure agreements
  • Sponsorship agreements
  • Advertisement and marketing
  • Corporate partnerships and coworking agreements
  • Club facility use/rental agreements
  • Club membership and ancillary service agreements as needed
  • Utilizing AI to increase efficiency and capacity, including to build libraries, forms and playbooks, create prompts and processes and build agentic workflows
  • Reviewing, interpreting and advising on contract terms and vendor disputes
  • Assisting in maintaining and implementing Life Time’s contract management policy
  • Assisting with due diligence for vendors and in M&A transactions
  • Supporting the legal team as needed, including with respect to compliance matters and third party risk management
  • Developing and maintaining effective working relationships with business partners
  • Coordinating input and guidance from specialists as appropriate, including risk, information security, employment and privacy
  • Communicating effectively with clients and other team members, including upper-level management, to explain issues and recommend solutions

Education

  • 4-Year Undergraduate Degree
  • J.D. from an Accredited Law School

Experience

One to five plus years’ experience in commercial contracting in either a law firm or in-house environment

Position Requirements

  • Demonstrated ability to comprehensively review, draft and negotiate contracts required, including technology contracts.
  • Experience and a desire to grow in utilizing and leveraging AI in drafting, reviewing, and managing contracts and researching legal issues presented by clients, including responsibility for building contract playbooks and agentic workflows. Experience specifically with Harvey is preferred.
  • Employs knowledge, experience and judgment to achieve enterprise goals in negotiating contracts with third parties
  • Demonstrates knowledge and experience in contract procedures, practices and concepts, including with respect to technology, AI, data privacy and security, employment, service levels, statements of work, representations and warranties, limits of liability and indemnities
  • Ability to work independently with reasonable oversight and also collaboratively as part of a team
  • Provide comprehensive, timely and practical legal advice in a fast-paced, dynamic work environment with an understanding of the client’s sense of urgency
  • Adaptable and collaborative approach to accomplishing the corporate transaction team’s evolving needs
  • Be a strategic business partner by developing an understanding of the business and being client -focused, responsive and dependable
  • Excellent interpersonal skills
  • Adept at making well-reasoned and defensible risk assessments and providing business clients at all levels with practical, actionable legal advice
  • Prioritize multiple tasks and adjust workload prioritization based on business needs
  • Demonstrated commitment to maintaining a high level of confidentiality
