About the Role

We are looking for a proactive, business-oriented Legal & Compliance Associate to independently manage legal, corporate governance, regulatory and transaction-related matters.

The ideal candidate will have strong legal fundamentals, sound judgment and a high degree of ownership, with the ability to navigate ambiguity, identify risks and drive matters to closure with minimal supervision.

The role offers exposure to commercial contracts, fundraising, investments, legal due diligence, FEMA, corporate compliance, intellectual property and healthcare and technology regulations.

Key Responsibilities

  • Fundraising & Due Diligence: Own legal documentation for fundraising and investment transactions, manage the investor data room, drive legal due-diligence requirements and ensure transaction deliverables are completed within timelines.
  • Commercial Contracts: Draft, review, negotiate and manage commercial agreements, including NDAs, vendor agreements, service agreements, partnership agreements and licensing contracts. Identify legal and commercial risks and recommend appropriate mitigation measures.
  • Corporate Governance: Manage Companies Act compliances, board and shareholder documentation, statutory registers, corporate records and compliance calendars.
  • FEMA & Regulatory Compliance: Manage applicable FEMA documentation, foreign investment compliance and regulatory filings, including relevant RBI requirements.
  • Legal Advisory & Research: Research and interpret legal and regulatory requirements across corporate law, healthcare, technology, data privacy and intellectual property, translating findings into actionable business recommendations.
  • Intellectual Property: Manage IP documentation, trademark filings and renewals, and contractual provisions relating to technology ownership, licensing and protection.
  • Risk & Compliance Management: Maintain compliance processes, identify legal and documentation gaps, drive corrective actions and ensure audit readiness.
  • Stakeholder Management: Work directly with leadership, internal teams, external legal counsel and Company Secretaries to resolve legal matters and ensure timely closure.

What We Are Looking For

  • Strong ownership mindset with the ability to independently manage legal matters end to end.
  • Sound legal judgment and a practical, business-oriented approach to risk management.
  • Ability to navigate ambiguity, solve problems independently and drive outcomes with minimal supervision.
  • Strong drafting, negotiation, legal research and analytical skills.
  • Excellent attention to detail, stakeholder management and communication skills.
  • Ability to manage multiple priorities in a fast-paced, evolving business environment.

Qualifications & Experience

  • LL.B. / B.Com LL.B. from a recognised university.
  • 2+ years of relevant experience in a law firm, in-house legal team or corporate legal and compliance function.
  • Strong experience in commercial contracts, corporate governance and statutory compliance.
  • Exposure to fundraising, investment transactions, legal due diligence, investor data rooms and FEMA will be preferred.
  • CS qualification, CS Executive or relevant Company Secretarial experience will be an added advantage.

What You'll Gain

  • Direct exposure to fundraising, PE/VC investments and strategic transactions.
  • Opportunities to work closely with founders, senior leadership, investors and external counsel.
  • Broad exposure to corporate law, FEMA, IP and healthcare and technology regulations.
  • Meaningful ownership in strengthening legal governance and enabling business growth in an AI-driven health-tech company.
