The Leidos Corporate Legal Department is seeking an experienced Senior Corporate Paralegal to join our team. In this role, you will support securities and SEC compliance, Board and committee governance, mergers and acquisitions, and domestic and international entity management for a Fortune 500, NYSE-listed company.

The position reports to the Corporate Secretary, works closely with Legal, Tax, Finance, Treasury, Human Resources, Contracts, Security, and outside counsel, and interacts regularly with senior management and the Board of Directors. This is a great opportunity to work across a broad range of corporate matters at a large company with an established law department.

This is an on-site position at our headquarters in Reston, Virginia, and candidates must live within commuting distance.

Primary Responsibilities

Securities and SEC Compliance

Prepare and file Section 16 reports (Forms 3, 4, and 5) and powers of attorney, maintain beneficial ownership records for directors and executive officers, and monitor transactions to ensure timely filing.

Coordinate EDGAR Next access for the company and its Section 16 filers, including Form ID submissions, account administrator and user role assignments, Login.gov credentials, annual confirmations, and CIK and EDGAR access codes.

Assist with preparation of Forms 10-K, 10-Q, and 8-K, including tie-out and support files, exhibits, signature packets, and filing calendars.

Support the annual proxy statement and annual meeting of shareholders, including the timeline and checklists, D&O questionnaires, related-party transaction data, coordination with outside vendors (such as the financial printer, proxy solicitor, and inspector of elections), meeting scripts and logistics, and post-meeting filings, including the Form 8-K reporting voting results.

Help administer the insider trading policy, including trading windows, blackout communications, preclearance requests, restricted and insider lists, and Rule 10b5-1 plans.

Assist with other SEC filings and support capital markets and debt financing transactions as needed.

Corporate Governance and Board Support

Prepare agendas, resolutions, consents, minutes, and meeting materials for the Board, its committees, and subsidiary boards; manage board portal workflows; and maintain the annual Board and committee calendars.

Coordinate director and officer onboarding and offboarding and Board and committee self-evaluations, and maintain director biographical information.

Maintain governance documents, committee charters, and corporate policies; track SEC and NYSE developments; and conduct governance benchmarking.

Respond to internal and external audit requests, including SOX requests, for governance documentation.

Domestic and International Entity Management

Support the management of the company’s domestic and international legal entities, including registrations, branch offices, good standing, annual reports, registered agents, status reports, and organizational charts.

Assist with entity formations, qualifications, mergers, conversions, dissolutions, withdrawals, and restructurings, as well as officer and director appointments; draft resolutions, written consents, and certifications.

Prepare corporate filings with local, state, federal, and foreign agencies, and coordinate apostilles, notarizations, and international legalizations with local counsel and service agents.

Update and maintain the company’s entity management database, ensuring accurate and current officer, director, ownership, registration, and good standing information; maintain minute books and authorized signatory and power-of-attorney records.

Respond to internal and external requests for corporate and entity information, including know-your-customer (KYC), bank, and tax requests, and prepare incumbency and officer certificates.

Coordinate with Contracts, Security, and Tax so that entity changes are reflected in federal registrations (including SAM.gov and CAGE codes); support government-contractor data collection and reporting; and flag officer, director, and ownership changes at relevant subsidiaries to Security.

Work with Tax and Treasury on entity structuring, intercompany matters, and bank account and signatory matters.

Mergers, Acquisitions and Corporate Transactions

Support acquisitions, divestitures, and joint ventures, including due diligence (particularly entity and corporate records diligence), virtual data rooms, closing checklists, signature coordination, and closing sets.

Support internal nondisclosure agreement (NDA) processes for potential transactions, including intake, routing, tracking, and recordkeeping for executed NDAs.

Assist with post-closing integration, including entity rationalization, name changes, board slates, registrations, and record updates for acquired companies.

Legal Operations and Special Projects

Conduct legal and corporate research and review outside counsel engagement letters and invoices.

Build and improve processes, templates, playbooks, and technology, including AI-enabled tools.

Take on special projects and other duties as needed.

Basic Qualifications

Bachelor's degree and 12+ years of relevant corporate paralegal experience; additional years of relevant experience will be considered in lieu of a degree.

Completion of a paralegal certificate or degree from an ABA-approved program.

Substantial experience supporting a U.S. public company, in-house or at a law firm, including Section 16 filings, periodic SEC reporting, and the proxy statement and annual meeting process.

Experience supporting a public company Board of Directors and its committees, including meeting materials, minutes, and governance documentation.

Demonstrated domestic and international entity management experience, including maintaining an entity management database and handling registration requirements for foreign entities and branch offices.

Experience supporting M&A or other complex corporate transactions, including due diligence and closings.

Sound judgment and discretion in handling confidential and material nonpublic information.

Excellent written and verbal communication skills, including a demonstrated ability to communicate effectively with senior management.

Self-motivated, with the ability to complete assignments without extensive supervision, work well under pressure, prioritize competing demands, and meet deadlines.

Strong analytical, research, interpersonal, and problem-solving skills; exceptional attention to detail; professionalism, integrity, and collegiality; and a willingness to work on a broad range of legal matters.

Proficiency in Microsoft Outlook, Word, Excel, and PowerPoint.

Preferred Qualifications

Active Virginia notary public commission.

Experience with EDGAR Next, Section 16 filing software, Workiva, board portals (for example, Nasdaq BoardVantage), and entity management platforms (for example, CT Corporation hCue).

Government contractor experience, including SAM.gov registrations.

In-house experience at a public company with global operations.

Familiarity with NYSE listing standards.

Interest in using technology and AI to improve legal workflows.
