Job Description:
GTB comprises three business lines: Trade & Working Capital ("TWC"), Corporate Cash Management ("CCM"), and Financial Institutions ("FI"), which are underpinned by dedicated support functions, including GTB Risk, Product Management, Client Solutions, Data & Analytics, and Deposit Portfolio Management.
Global Transaction Banking is undergoing a multi-year digital transformation focused on delivering scalable, innovative payment, liquidity, treasury, and receivables solutions for corporate and financial institution clients. This transformation presents a unique opportunity to shape the future of transaction banking while working alongside industry-leading professionals across TD.
Role Overview
The Vice President will join GTB Risk, a first-line function embedded within the GTB business, working directly with Origination, Product and other business teams to evaluate and shape complex transactions, products and strategic initiatives. The role combines commercial judgement, transaction structuring expertise, and independent risk challenge.
The successful candidate will partner with GTB teams and other relevant stakeholders to assess risks across GTB products, business initiatives and transaction structures. They will identify material risks early and develop practical solutions that support client needs, while remaining aligned with TD’s risk appetite and legal, regulatory and control requirements. Alongside transaction review, the role will contribute to broader assessments of GTB’s risk framework and business activities. This role is well suited to someone who has worked in transaction banking, structured finance, corporate banking, credit, product, or banking and finance law and is comfortable combining business, structuring and risk perspectives.
Key Accountabilities:
- Partner with Origination, Product, and other GTB teams to assess and shape products, strategic initiatives, client solutions, and transactions from early design through execution.
- Assess the commercial and risk implications of legal documentation, regulatory requirements, and market practices, working with Legal and Compliance and translating complex issues into clear and actionable business recommendations.
- Review and shape complex transaction structures and non-standard documentation, identify material risks, and evaluate structural alternatives, risk allocation, and mitigants to develop practical, commercially workable solutions with Legal and other partners.
- Support credit requests, annual reviews, non-standard requests, and bespoke client needs, assessing alignment with applicable policies and risk appetite.
- Assess the impact of emerging legal, regulatory, geopolitical, and market developments on GTB's products, transactions, and risk profile, identifying cross-product themes and emerging exposures.
- Develop and maintain GTB risk policies, frameworks, playbooks, and guidance that support sound risk management and efficient business execution.
- Advise on framework exceptions, balancing commercial objectives with risk considerations.
- Advise senior stakeholders on material risk matters, influence business and transaction outcomes, and support sound risk-based decisions.
- Exercise sound judgement in escalating material risks, policy deviations, control concerns, and matters outside established risk frameworks.
- Promote consistent risk practices across GTB and strengthen team capabilities by sharing transaction, product, and risk expertise.
What You Bring:
Candidates with backgrounds in transaction banking, structured finance, corporate banking, credit, product, banking and finance law, or related financial services functions are encouraged to apply.
- Five or more years of relevant experience originating, structuring, executing, or advising on complex transactions, products, or client solutions within a financial institution or law firm.
- Strong understanding of one or more GTB products or business areas, or relevant experience in similar financing structures
- Experience assessing transaction structures, legal documentation, risk frameworks, policies, or regulatory requirements and translating complex issues into clear, commercially focused recommendations.
- Strong analytical skills and commercial judgement, with the ability to assess legal, regulatory, credit, operational, and reputational considerations and develop workable alternatives.
- Demonstrated ability to work with Origination, Product, Legal, Credit, Operations, and other stakeholders to evaluate alternatives, resolve issues, and influence sound business and risk decisions.
- Excellent communication skills, with the ability to explain complex matters clearly and provide constructive challenge to stakeholders.
- Proven ability to manage multiple priorities and balance transaction demands with broader business and risk priorities.
- A law degree, MBA, CFA, accounting designation, or other relevant professional qualification is considered an asset.
