Job Description:

Overview

TD Securities ('TDS') provides a wide range of capital market products and services to corporate, government, and financial institution clients through Global Transaction Banking, Corporate and Investment Banking, and Global Markets. The firm works with clients around the world, focusing selectively and strategically on key global financial centers: Toronto, Montreal, Calgary, Vancouver, New York, London, Singapore, and Tokyo.

Global Transaction Banking (GTB) is a strategic growth business within TDS, delivering innovative treasury, liquidity, payments, trade finance, and working capital solutions to some of the world's leading organizations. As client needs continue to evolve alongside changing macroeconomic conditions, technological innovation, interest rate environments, and global trade dynamics, GTB remains focused on providing market-leading solutions that enable clients to optimize cash flow, manage risk, and support growth.

GTB is comprised of two principal business verticals: Treasury Solutions (Corporate Cash Management and Correspondent Banking) and Trade and Working Capital (Core Trade Finance and Structured Trade & Export Finance) which are underpinned by dedicated support functions, including GTB Risk & Control, Product Management, Transformation, and Innovation, Data & Analytics and Business Risk & Control.

The Vice President in Structuring & Execution team plays a critical role within the Trade & Working Capital business vertical, leading the evaluation, structuring, approval, execution, and ongoing management of complex Trade Finance (standby letters of credit / guarantees, import letters of credit, export letters of credit, or documentary collections), Working Capital (accounts payable, accounts receivable) and Export Agency Finance transactions. This individual will serve as a trusted advisor to internal and external stakeholders, providing independent judgment, transaction leadership, and strategic guidance throughout the transaction lifecycle.

Key Responsibilities

Transaction Structuring, Credit Analysis & Risk Management

  • Lead the structuring and evaluation of complex Trade Finance, Working Capital, Supply Chain Finance, and Export & Agency Finance transactions.
  • Assess transaction structures, counterparty risk, legal frameworks, capital implications, and portfolio impacts.
  • Prepare and present high-quality credit recommendations, transaction summaries, and approval materials to senior credit adjudication and governance committees.
  • Analyze financial, operational, legal, and industry information to identify risks, opportunities, and structural considerations.
  • Recommend appropriate transaction structures, exposure levels, risk ratings, covenant packages, reporting requirements, and risk mitigation strategies.
  • Lead due diligence activities, including client meetings, management discussions, industry reviews, and regulatory assessments.
  • Maintain deep expertise in market developments, industry trends, regulatory changes, and emerging risks impacting Trade & Working Capital businesses.
  • Act as a subject matter expert and trusted partner on complex credit, structuring, and execution matters.

Transaction Execution & Portfolio Management

  • Lead end-to-end execution of transactions, including documentation, closings, amendments, renewals, waivers, and ongoing portfolio management activities.
  • Direct negotiations with clients, counsel, agents, Export Credit Agencies (ECAs), and other stakeholders to ensure alignment with approved transaction structures and risk parameters.
  • Proactively identify, escalate, and manage execution risks, portfolio concerns, and emerging credit issues.
  • Monitor transaction performance, counterparty creditworthiness, industry trends, and macroeconomic developments.
  • Present transaction updates, portfolio insights, and risk assessments to senior management and governance forums.
  • Ensure adherence to TD's policies, procedures, risk framework, and regulatory requirements.
  • Provide oversight for AML/KYC requirements and transaction-closing processes.

Leadership & Strategic Partnership

  • Serve as a senior partner to deal teams, contributing strategic perspectives on client opportunities, complex transaction structures, and business growth initiatives.
  • Build and maintain strong relationships across GTB, Credit Risk, Legal, Compliance, Finance, Operations, and Risk Management teams.
  • Lead negotiations involving complex transaction structures, documentation, and credit terms for strategically important client mandates.
  • Drive continuous improvement initiatives to enhance execution efficiency, risk management practices, and client experience.
  • Contribute to the evolution of Trade & Working Capital policies, governance frameworks, procedures, and best practices.
  • Mentor and develop junior team members while fostering technical excellence, sound credit judgment, and strong risk-management discipline.

Qualifications

Required Experience

  • Undergraduate degree in Finance, Economics, Accounting, Business, Law, or a related discipline.
  • 7–10+ years of relevant experience within Trade Finance, Structured Finance, Corporate Banking, Credit Risk, Export Finance, Supply Chain Finance, Securitization, or related areas.
  • Demonstrated experience leading complex transaction structuring, credit analysis, documentation review, negotiation, and execution activities.
  • Strong understanding of:
  • Trade Finance products (standby letters of credit / guarantees, import letters of credit, export letters of credit, or documentary collections)
  • Working Capital solutions (accounts payable, accounts receivables, prepayments, or inventory financing)
  • Export Credit Agency (ECA) financing
  • Advanced knowledge of credit assessment, risk management, legal documentation, financial analysis, capital considerations, and transaction structuring.
  • Proven ability to influence senior stakeholders and present complex recommendations to executive audiences and credit committees.
  • Strong leadership, stakeholder management, and relationship-building capabilities.
  • Demonstrated ability to manage multiple priorities while exercising sound judgment in a fast-paced environment.

Preferred Qualifications

  • MBA, CFA, CPA, FRM, legal designation, or other relevant advanced professional qualification.
  • Experience working with Bloomberg, Capital IQ, rating agency methodologies, cash flow modeling, and related analytical tools.
  • Proven track record of mentoring talent, leading through influence, and driving continuous improvement initiatives.
